Grasshopr.com (this Site, the Service, or Grasshopr.com) is operated by Grasshopr, LLC (Grasshopr). By using this Site in any way, you (the User or Member) accept that you have read, understand, and agree to be bound by the following terms and conditions (the 'Terms of Service'). Where applicable under law, these Terms constitute a 'writing signed by you.' Grasshopr reserves the right at its sole discretion to change, amend, add, or delete portions of these Terms. We will post any changes to this page and indicate at the top of the page when the last revision or update was posted. Your continued use of this Site or Services constitutes an acceptance of the new Terms of Use. It is your responsibility to regularly review this page to be aware of any changes, revisions amendments, additions or deletions to the Terms of Use.

Eligibility

You must be at least 13 years old to use or register with Grasshopr.com. By using or registering with Grasshopr.com you represent and warrant that you are at least 13 years of age and have the capacity to understand, agree to and comply with these Terms of Service.

Registration

You may create only one profile for yourself on Grasshopr.com to use the Site and Services. When registering with Grasshopr.com, you must provide complete and accurate information to use the Site and Services. You agree to keep your information current and updated. During the registration process, you will be asked to create a username and password, and you are responsible thereafter for maintaining the security of your username and password and for any actions that take place under your account. We reserve the right to deny the use of a username that we deem in any way inappropriate, vulgar, offensive, or protected.

Code of Conduct

You agree to abide by all applicable local, state, national and international laws and regulations, and are solely responsible for all acts or omissions that occur under your account made by you including the content of your transmissions through Grasshopr.com and related technologies and Services. In addition, you agree not to use Grasshopr.com and related technologies and Services to:

• Use Grasshopr.com or related technologies or Services for any commercial use, without the prior written consent of Grasshopr, LLC.
• Harvest or Collect or obtain email addresses or any other contact information of other users of Grasshopr.com by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.
• Use other Grasshopr.com User’s data for any other purpose than contacting them in ways reasonably expected and welcomed within the Grasshopr.com community.
• Use Grasshopr.com or any of its services in any unlawful manner or in any other manner that could damage, disable, overburden or impair Grasshopr.com and related technologies.
• Use any means other than Grasshopr.com and related technologies and Services to collect information contained within the Site, including automated scripts, software or any other programs or technologies.
• Publish, store, post, share, or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable.
• Register for more than one User account, register for a User account on behalf of an individual other than yourself.
• Register for a User account on behalf of any group or entity unless you can provide credentials and testimony to the effect that you are a legitimate representative of that group or entity.
• Impersonate any other person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity.
• Publish, store, post, share, or otherwise make publicly available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
• Publish, store, post, share, or otherwise make publicly available on Grasshopr.com or related Services any private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers.
• Solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes.
• Publish, store, post, share, or otherwise make publicly available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• Defame, abuse, harass, stalk, threaten or otherwise violate the rights (such as rights of privacy and publicity) of others, whether they are Grasshopr.com Users or not.
• Publish, store, post, share, or otherwise make publicly available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law.
• Use or attempt to use another's account, service or system without authorization from the Company, or create a false identity on the Service or the Site.
• Publish, store, post, share, or otherwise make publicly available content that, in the sole judgment of Grasshopr, is objectionable or which restricts or inhibits any other person from utilizing the Site in any way, or which may expose Grasshopr or its users to any harm or liability of any type.
• Modify, adapt, translate, or reverse engineer any portion of Grasshopr.com or its related technologies or Services, or use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of Grasshopr.com or related technologies or Services.
• Publish, store, post, share, or otherwise make publicly available materials of any third party without such third party's prior written consent, or materials that falsely express or imply that such materials are sponsored or endorsed by Grasshopr.com or Grasshopr, LLC.
• Publish, store, post, share, or otherwise make publicly available materials that are unlawful or promote or encourage illegal activity or that would violate the property rights of others.
• Interfere in any way with any security and/or copyright protection features of Grasshopr.com and related technologies and Services.
• Interfere with any other User’s use and/or utilization of Grasshopr.com and related technologies and Services.

Community Code of Conduct

The same Code of Conduct that applies to a User also applies to groups registered with Grasshopr and to the entire community of Grasshopr.

Privacy Policy

We at Grasshopr.com and Grasshopr, LLC take your privacy very seriously, and consider the privacy of our members critical. Please refer to our Privacy Policy for more information.

Dispute Remediation

Interactions between members of Grasshopr.com are the sole responsibility of Grasshopr.com Members. Grasshopr.com and Grasshopr, LLC reserve the right to monitor and mediate any disputes between Members, but are under no obligation to do so.

Termination of Service

You are free to terminate your account at any time, which will remove your profile and other personal information from Grasshopr.com and remove your membership from groups you have joined. Termination of your account may or may not remove any other activity you have undertaken, such as comments, posts, poll responses, or votes. Grasshopr.com and/or Grasshopr, LLC may terminate your membership immediately, for any reason. Once terminated, you will have no right to use Grasshopr.com or its related technologies or Services. Our proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions shall survive any termination of your membership. Grasshopr.com and Grasshopr, LLC may also, at its sole discretion and at any time, temporarily or permanently discontinue maintaining Grasshopr.com and/or providing any or all related technologies and services with or without notice.

You agree that any termination of access to Grasshopr.com or related technologies or Services under any provision of the Terms of Service may be effective without notice and acknowledge and agree that Grasshopr.com or Grasshopr, LLC may immediately deactivate or delete your account and all related information and files in your account and/or forbid any further access to such files or Grasshopr.com and related technologies and Services. Wherever possible, Grasshopr.com and Grasshopr, LLC will make reasonable efforts to give Members prior notice of termination or suspension of their access to Grasshopr.com and related technologies and Services. You agree that Grasshopr.com or Grasshopr, LLC shall not be liable to you or any third party for any termination or suspension of access to Grasshopr.com or related technologies or Services or any modification of Grasshopr.com or related technologies or Services.

Disclaimer of Warranties

Grasshopr, LLC and its affiliates, licensors, partners, members, suppliers, employees, consultants and agents ('Grasshopr') disclaim any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or Materials displayed on Grasshopr.com or any related technologies or Services. Grasshopr further expressly disclaims
(1) that Grasshopr.com or related technologies and Services will meet your requirements and will be uninterrupted, error-free, timely, or secure,
(2) that defects or errors will be corrected,
(3) that Grasshopr.com and related technologies and Services or the servers that make it available are free of viruses or other harmful components, and

Grasshopr expressly disclaims any and all responsibility and liability for the conduct of any other Grasshopr.com User or Member, and expressly disclaims that the content and Materials of Grasshopr.com uploaded, posted, or otherwise transmitted by other Users or Members is correct or accurate. Although we provide rules for user conduct and postings, we do not control and are not responsible for what users post, transmit or share on the Site and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or Third Party Applications, Software or Content. The Company is not responsible for the conduct, whether online or offline, of any user of the Site or Service. Grasshopr.com and related technologies and Services may be temporarily unavailable occasionally for maintenance or other reasons.

Grasshopr, LLC assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User or Member communications. Grasshopr, LLC is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Site or combination thereof, including injury or damage to User's or to any other person's computer, mobile phone, or other hardware or software, related to or resulting from using or downloading materials in connection with the Web and/or in connection with Grasshopr.com or related technologies and Services.

Under no circumstances will Grasshopr, LLC be responsible for any loss or damage, including any loss or damage to any User Content or personal injury or death, resulting from anyone's use of Grasshopr.com or related technologies or Services, any User content or third party applications, software or content posted on or through Grasshopr.com or related technologies and Services or transmitted to Users, or any interactions between users of the Site, whether online or offline.

Indemnity

You agree to hold harmless and indemnify Grasshopr.com and Grasshopr, LLC, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, from and against any third party claim arising from or in any way related to your use of or conduct on Grasshopr.com or related technologies and Services, including any liability or expense arising from all claims, liabilities, losses, damages (actual and consequential), suits, judgments, litigation costs, expenses, and attorneys' fees, of every kind and nature or any violation of this Agreement or of any law or the rights of any third party.

Submissions and Suggestions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information (“Submissions”) about Grasshopr.com and related technologies and Services provided by you to Grasshopr.com or Grasshopr, LLC are not confidential and shall become the sole property of Grasshopr, LLC. Grasshopr, LLC shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Limitation of Liability

YOUR USE OF GRASSHOPR.COM AND RELATED TECHNOLOGIES AND SERVICES IS AT YOUR SOLE RISK. UNDER NO CIRCUMSTANCES WILL GRASSHOPR, LLC, ITS PARENTS, SUBSIDIARIES, AND AFFILIATES, AND THEIR RESPECTIVE OWNERS, OFFICERS, MANAGERS, MEMBERS, AGENTS, AND EMPLOYEES, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOSSES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH USE OF, OR INABILITY TO USE, GRASSHOPR.COM AND RELATED TECHNOLOGIES AND SERVICES, WHETHER OR NOT GRASSHOPR, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS. SUCH LIMITATION OF LIABILITY SHALL APPLY
(I) WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON GRASSHOPR.COM AND RELATED TECHNOLOGIES AND SERVICES, FROM INABILITY TO USE GRASSHOPR.COM AND RELATED TECHNOLOGIES AND SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE GRASSHOPR, LLC SERVICE (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES), AND
(II) NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.
IF YOU ARE DISSATISFIED WITH GRASSHOPR.COM AND RELATED TECHNOLOGIES AND SERVICES OR ANY PART OF GRASSHOPR.COM AND RELATED TECHNOLOGIES AND SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING GRASSHOPR.COM AND RELATED TECHNOLOGIES AND SERVICES AND ITS RELATED WEBSITE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU. UNDER NO CIRCUMSTANCES SHALL GRASSHOPR, LLC BE LIABLE TO YOU FOR ANY AMOUNT EXCEEDING ONE THOUSAND DOLLARS ($1,000.00).

Jurisdiction

By visiting or using the Site and/or the Service, you agree that the laws of the State of Virginia, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and the Company or any of our affiliates. With respect to any disputes or claims not subject to arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts of Virginia, and you hereby consent to, and waive all defenses of lack of personal jurisdiction from non-convenience with respect to venue and jurisdiction in the state and federal courts of Virginia. The Information We Collect and How We Use It

Registration

In order to use this Web site, you must first complete the registration form, which includes creating a user name and password. During registration you are required to provide contact information, including your first and last name, email address, and street address. We use this information to contact you about the services on our site in which you have expressed interest. Your street address is used to match you to your legislative districts at the federal, state, and, where possible, local level. Your street address will not be visible to others on Grasshopr.com or made public. We will never sell or share any private data on Grasshopr. If you choose to send a communication to a public official, your street address will be revealed to the recipient of that communication so that they can get in touch with you. You have the option to provide demographic information (such as income level and gender) to us; we encourage you to submit this information so we can provide you a more personalized experience on our site. From time to time, you may receive updates from Grasshopr.com regarding the site, its services, and any updates that we feel you should know about. You will have the option of how you would like to receive updates regarding actions, updates and other activities concerning your friends and groups that you belong to. Grasshopr, LLC is the sole owner of the information collected on Grasshopr.com. Grasshopr, LLC collects personally identifiable information from our users at several different points on our Web site.

Tell-A-Friend

We have provided the opportunity for you to invite others to Grasshopr.com. If you choose to use our referral service to tell a friend about our site, we will ask you for your friend’s name and email address. We will automatically send your friend a one-time email inviting him or her to visit the site. Grasshopr, LLC stores this information for the sole purpose of sending this one-time email and tracking the success of our referral program. Your friend may contact us at remove@grasshopr.com to request that we remove this information from our database.

Premium-Level Invitations and Member Data

Premium-Level Groups (PLGs) can upload their membership databases for the purposes of matching each record to their respective legislative districts at the federal, state, and, if applicable, local level. In addition, an invitation is sent to each member to register with Grasshopr.com and join the inviting group. Grasshopr, LLC stores information uploaded by PLGs for the sole purpose of tracking the success of such invitation programs. After this initial invitation email, PLGs control the communications to members (such as follow-up invitations, other email communications, etc.). Grasshopr, LLC or Grasshopr.com will maintain the confidentiality of this data and will not send unsolicited emails of any kind to this group. If a Premium-Level Group chooses to terminate its use of Grasshopr.com Premium-Level Service, Grasshopr, LLC will store the data of those invitees that haven’t registered for the sole purpose of measuring the success of the invitation program and will not send follow-on invitations or any other communications.

Communications from the Site

Services and Updates

We will occasionally send you information on upcoming products, services, special deals or promotions.

Service-related Announcements

We will send you strictly service-related announcements on rare occasions when it is necessary to do so. For instance, if our service is temporarily suspended for maintenance, we might send you an email. Generally, you may not opt-out of these communications, which are not promotional in nature. If you do not wish to receive them, you have the option to deactivate your account

Customer Service

Based upon the personally identifiable information you provide us, we will send you a welcoming email to verify your username and password.
